02Object
These Terms and Conditions govern the use of the website www.quindi.pt and the provision of marketing, communication and digital development services by Quindi, Lda.
03Services
Quindi provides digital marketing, social media management, content creation, application development and consulting services. The specific services contracted in each case are set out in the commercial proposal and individual contract, which prevail over these general conditions.
04Prices and payment conditions
The prices shown include VAT at the legal rate in force (23%). Payment for services is made according to the deadlines indicated in the proposal or invoice.
05Service delivery deadlines
Execution deadlines depend on the type of service contracted:
- Project-based services (campaigns, websites, visual identity, custom training, consulting): deadlines are defined individually per project and communicated in the commercial proposal. Unless otherwise indicated, work starts within up to 5 business days after confirmation of payment and receipt of all necessary elements from the client.
- Recurring subscriptions (Social Planner, social media management, maintenance): access to the service is made available immediately after confirmation of payment, remaining active while the subscription is in force.
Compliance with deadlines assumes timely collaboration from the client (delivery of content, validations, access and other necessary information). Delays attributable to the client automatically suspend deadlines for the corresponding period, without any right to compensation or price reduction.
Quindi is not responsible for delays resulting from force majeure, failures in third-party platforms (social networks, hosting, payment services) or unavailability of external suppliers, provided they are duly communicated to the client.
06Intellectual property
Website and platform content. All content on this website and on the Social Planner platform (texts, images, logos, trademarks, source code, design, interfaces, models and database structure) is the exclusive property of Quindi, Lda. or of third parties who authorised its use, and is protected by the Code of Copyright and Related Rights and other applicable legislation. Reproduction, distribution, modification or commercial exploitation, in whole or in part, without prior written authorisation from Quindi, is prohibited.
Content submitted by the client. Files, images, texts, trademarks, logos and other materials uploaded by the client to Quindi's platforms remain the property of the client. The client guarantees that they hold the necessary rights over such content and grants Quindi a non-exclusive, free licence limited to the duration of the contract, to store, process and use them exclusively for the purposes of providing the contracted services (including publication on social networks and scheduling).
Content produced on commission. Unless otherwise stipulated in a specific proposal or contract, final creative works delivered to the client under paid projects (graphic pieces, editorial content, videos, websites) are licensed to the client for the agreed purposes after full settlement of the price. Quindi reserves the right to use these works in its portfolio and in institutional dissemination actions, unless expressly opposed in writing by the client.
Tools, processes and know-how. The methods, models, automations and technologies developed by Quindi to provide the service remain the exclusive property of Quindi, even when applied in specific client projects.
Termination of the contract. In case of termination of the contract, the client may request the export of their content within 30 days, after which Quindi may delete it definitively.
07Right of withdrawal
Consumers have the right to withdraw from the contract within 14 days, under Decree-Law no. 24/2014. For more information and a form template, see the dedicated page: Right of Withdrawal.
08Alternative dispute resolution
In case of dispute, the consumer may use the Consumer Information and Arbitration Centre of Porto (CICAP):

11Applicable law and jurisdiction
These Terms are governed by Portuguese law.
Consumers. The consumer rights established in mandatory rules, in particular in the consumer protection regime (Law no. 24/96) and distance selling (DL 24/2014), prevail over any provision of these Terms. The consumer may resort to the jurisdiction of their domicile or the jurisdiction of the place of performance of the obligation, with all the protection guarantees provided by law remaining in force. For extrajudicial dispute resolution, we recommend recourse to CICAP (see § 8) or another competent Alternative Consumer Dispute Resolution entity.
Business-to-business relations (B2B). For contracts entered into between Quindi and clients acting within the scope of their commercial, industrial, artisanal or professional activity, the parties designate as competent, in the first instance, the jurisdiction of the District of Porto, waiving any other.
